深康佳A一季度业绩明增实亏，华润入主后能否破局？

老牌家电企业深康佳A（000016.SZ）在连续巨亏后迎来转机，随着新主中国华润有限公司（以下简称“中国华润”）浮出水面，公司迎来“华润时代”。
4月29日，深康佳A公告，公司的控股股东拟由华侨城集团有限公司（以下简称“华侨城集团”）变更为磐石润创（深圳）信息管理有限公司（以下简称“磐石润创”），实控人变更为中国华润。
受控股股东变更消息刺激，深康佳A4月30日股价开盘迅速涨停，收于5.45元/股。
同日，深康佳A披露的2025年一季报显示，公司营收和净利润结束了下行趋势，迎来了双增长。
不过，界面新闻发现，深康佳A向半导体业务的转型之路仍不明朗。尽管一季度实现了盈利，但是利润的增长高度依赖非经常性损益，不可持续。
同时，从一季报财务数据看，公司面临着“存贷双高”、扣非归母净利润亏损、经营活动现金流持续净流出、应收账款与存货高企等问题。
深康佳A亟待形成自身的“造血”能力。待利空出尽，“白衣骑士”中国华润的入主，能否拯救深康佳A？
表现扭亏难掩经营困局
一季报显示，深康佳A报告期实现营业收入25.44亿元，同比微增3.32%；实现归属于上市公司股东的净利润9,481.07万元，同比扭亏。但细究财报，“盈利”成色堪忧，非经常性损益“粉饰”业绩。
从单季营收来看，不超过30亿元的营收规模仍处于深康佳A的低位营收区间，同比微增的原因在于去年同期基数低。2022年至2024一季度，公司营收分别为83.20亿元、46.01亿元和24.63亿元。
从单季归母净利润表现来看，深康佳A是近两年首次出现单季盈利，但扭亏原因是由非经常性损益贡献而来。
公司会计政策变更，武汉天源环保股份有限公司股权由长期股权投资转为交易性金融资产，产生了较大金额的投资收益，并带来了非经常性损益，涉及金额6.56亿元。
真实业绩仍在亏损之中。深康佳A一季度扣非后归母净利润为-4.41亿元，自2011年以来，公司年报扣非归母净利润均为亏损。
一季报未有板块数据披露，从年报来看，深康佳A将核心业务聚焦在消费类电子业务和半导体业务两轮主业上。去年，公司主动退出非主业和对主业赋能不强且持续亏损的业务，导致营收下滑。
值得注意的是，去年深康佳A的营收结构已失衡。
消费类电子业务保持在百亿元规模，尽管去年营收小幅下滑，但营收占比逆升。这一业务2023年营收占比还在57.17%，到2024年上升至91.2%。
深康佳A寄予厚望的第二轮主业——半导体及存储芯片业务遭遇滑铁卢。其营收由33.97亿元大幅缩水至1.70亿元，降幅95%，营收占比由约20%降至只有1.53%。
其他业务的营收占比也在下行。
深康佳A2024年主营业务构成
具体来看，消费电子业务中的彩电业务仍是中流砥柱，去年实现营收超过50亿元，营收占比45.23%。但受市场竞争加剧、供应链持续波动以及刚性费用压降空间有限等因素的影响，彩电业务仍处于亏损状态。
深康佳A自2018年便跨界布局半导体业务，但时至今日，回报周期长的半导体业务仍未上量。年报显示，深康佳A目前在半导体光电领域进行了布局，重点聚焦Micro LED及Mini LED芯片、巨量转移、显示三大业务板块。
半导体业务投入高，产出尚需时间。由于公司半导体业务仍处于产业化初期，未实现规模化及效益化产出，影响了盈利水平。
除表相业绩好转外，深康佳A这份一季报并未看到更多向好的趋势，财务风险依然高悬。
首先，“存贷双高”明显。
深康佳A同时存在着高额的货币资金与短期借款。截至一季度末，公司账上货币资金和交易性金融资产共43.03亿元，较2023年末的69.76亿元下降了近四成。
值得注意的是，公司短期借款高达55.19亿元；长期借款也有42.56亿元。公司货币资产较高，但也无法完全覆盖短期债务，存在偿债缺口。
利息收支也有异常。一季报显示，深康佳A货币资金所带来的利息收入只有3,706.77万元，而利息费用则高达1.76亿元。利息收入与货币资金规模不匹配。
其次，资产负债率超90%。
深康佳A资产负债率向来不低，近三年更是三级跳，2022年为77.74%，2023年到83.51%，2024年一举突破90%至92.65%。今年一季度，资产负债率依然高企，截至报告期末这一指标依然在92.49%。化债压力大。
同时，公司资产周转率低至只有0.08倍，历年最低。
再次，深康佳A现金流仍承压。
公司经营现金流在续净流出。一季度公司经营活动产生的现金流量净额仍是负数，为-4.22亿元。2024年这一指标为1.74亿元。
此外，深康佳A账上存货又在上升。一季度末公司存货28.91亿元，较期初又增加了近2亿元。
华润能破局吗？
如此业绩之下，深康佳A股价依然强势涨停，信心来自新控股股东。中国华润入主后有哪些事情亟待处理？又能为深康佳A带来哪些资源呢？
此次央企整合进展迅速。深康佳A4月8日收到华侨城集团的央企整合通知。不到一个月时间，4月29日，华侨城集团及其一致行动人分别与磐石润创及合贸公司签署了股份无偿划转协议。
本次股份无偿划转前，华侨城集团及其一致行动人共计持有康佳集团7.22亿股股份，持股比例为29.999997%。磐石润创及合贸公司未持有公司股份。
无偿划转后，华侨城集团及其一致行动人不再持有公司的任何股份，磐石润创及合贸公司持股比例为29.999997%。
公司控股股东将由华侨城集团变更为磐石润创，磐石润创为中国华润全资子公司，深康佳A的公司最终实际控制人仍为国务院国资委。
中国华润入主后，首要解决的便是“输血”问题。
短期来看，深康佳A的财务表现急需修复，债务危机亟待化解。去年年报可见，公司资产负债率高企，现金流承压。为此，公司正筹划各种方式的融资。
深康佳A计划发行不超过24亿元公司债。这一事项已于2024年9月通过公司股东大会审议，12月取得深交所出具的无异议函，目前仍在推进之中。
中国华润的央企背景可提供低成本融资渠道，或缓解康佳的债务压力，会让公司债的发行更顺畅。
今年1月，深康佳A在收购宏晶微电子78%股权预案中，也有募资计划。公司拟将募资用于支付交易费用、补充流动资金、偿还债务等，其中用于补充上市公司及标的公司流动资金、偿还债务的比例不超过交易作价的25%或募集配套资金总额的50%。
其次，要解决的是深康佳A自身的“造血”问题，破局的关键在半导体业务。
长期来看，如何实现可持续性的收入和利润，对深康佳A来说，一方面要稳固消费电子业务基本盘，另一方面还要看半导体业务何时能带来业绩增量。
深康佳A对宏晶微电子的收购还在推进之中。宏晶微电子是一家多媒体芯片设计公司，主营业务为音视频图像信号处理芯片设计，这一领域与深康佳的彩电业务有着一定的协同性。宏晶微电子曾尝试科创板IPO未果。
此外，中国华润旗下也有半导体公司华润微电子，这是第三代半导体技术，这些资产存在注入的可能。
当然，中国华润入主后，最重要的还得看深康佳的管理层会否持续稳定。
2024年期间，深康佳已进行过一轮管理层的大幅更换。新的高管团队操盘不到一年，新的战略正在执行中。如今控股股东发生变化，管理团队在2025年会否又生变数呢？
深康佳A的“华润时代”已然开启，但业务的转型并非坦途。短期输血，长期造血，中国华润能否帮助深康佳A化解财务危机，进而内生增长动力，还需要观察。

I am saying deleting is simpler and does not rely on the client, only on relays, so we shouldn't believe in editing. At least for now.
For example, Amethyst app supports post editing but the new version is only visible for Amethyst users. If you use any other client that don't understand kind:1010 you will see the original note without even realizing it has a new version. At least for now that is the state of the things, and it is not a good thing.

If you try to turn profits in the incubation stage, you inevitably strangle growth and quality suffers.
That's why grants have turned out to be such a problematic model: people usually view them as personal income and spend them on rent and food, rather than seeing them as investment income in a business they are building, that should be reinvested in making that business grow. That's why they slow or stop working, when the grants run out, or they jump to some other project, to collect grant monies for that. They haven't bothered building something that *generates income*, so their economic incentive to continue the effort evaporates.
And that's why they only write code, rather than build infrastructure and processes: you can just drop code and walk away, with no bills, no staff, no contracts, and no further expectations of services delivered.
Slam, bam, thank you ma'am, but make it FOSS.
