启动私有化退市之后，凤祥股份的命运，备受业内外关注。
这家白羽鸡行业头部企业，登陆港股不到5年。期间，还曾着手回A，意欲成为国内鸡肉深加工行业首家A+H企业，但随着刘学景家族深陷流动性危机，计划落空。
太盟亚洲2022年入主，推动公司营收规模首破50亿元，业绩逐年向好。主导加码的鸡肉深加工业务，已成为第一大业务。
从以往太盟亚洲收购的案例来看，其早已不局限于财务投资，往往对标的企业有着更高的追求。正如太盟投资集团执行董事长单伟建所说，改变标的企业的管理之后，最终会提升企业价值。
退市在即
凤祥控股（09977.HK）筹措已久的私有化退市，已经箭在弦上。
5月2日夜间，要约人菁裕企业发展（山东）有限公司与凤祥股份联合公告称，由于尚需更多时间落实综合文件等资料，执行人员已同意将寄发综合文件的最后时限延至7月11日前。
此前，要约人保留其向所有股东（除Falcon Holding 及Platinum Peony）提出现金支付注销价之替代方式的权利，即股东可按指定兑换比率收取潜在存续证券。
据公告，要约人需在5月11日下午4时期间，收到合计持有已发行股份不少于0.5%（791.674万股）的有意股东提交的表示有意选择上述替代方案。
在满足上述前提条件后两个月内（即7月11日或之前），要约人决定是否行使潜在股份选择要约。
作为国内肉鸡全产业链第一股，凤祥股份实施私有化退市，早已引发业内外广泛关注。
4月11日，公司公告，由菁裕企业发展（山东）对其实施附前提条件的私有化。
据相关协议，除Falcon Holding 及其一致行动方Platium Peony之外，要约人向其余H股股东支付2.0港元/股，向内资股股东支付1.86元人民币/内资股，注销总代价为4.89亿港元、9690.93万元人民币。
这一次，要约人对H股股东给出的注销价格颇有诚意，较最后交易日联交所收市价每股1.50港元，溢价33.33%。
截至目前，Falcon Holding LP持有公司约71.38%股权、Platium Peony持有约9.90%股权。待完成相关收购动作后，凤祥股份将从联交所退市。
天眼查显示，菁裕企业发展（山东）于2022年11月设立于山东聊城，唯一股东 Falcon Holding LP的背后，即是专注亚太地区股权类投资业务的太盟亚投资集团（PAG）。
业绩向好
2024年，凤祥股份继续深化结构性调整，交出自上市以来最好成绩单，实现营业收入55.05亿元、归母净利润2.81亿元，同比分别增长7.21%和75.19%。期内毛利率为12.0%，同比上年增加0.5个百分点。
据年报，公司深加工鸡肉制品、生鸡肉制品销量呈双位数增长，分别实现销售收入29.55亿元、23.43亿元，同比分别增长13.1%和2.6%。
近几年，凤祥股份的深加工鸡肉制品已陆续走向C端。去年，推出“五更炉”老汤烧鸡、双椒鸡等产品，另外，优形即食鸡胸肉产品继续押注健身、瘦身等人群，去年销售规模约2.28亿元，同比增长6.56%。
去年，公司通过增发等方式，公众持股量达到25%，成功完成复牌。股权结构优化之后，投资者们以为其会继续向前，没想到的是，它却动了退市的心思。
在4月11日公告中，公司透露对资本市场大失所望，称“已丧失上市平台优势，股本募集能力有限”。
自2021年后，公司股价一路下行，市场成交量低，限制了从市场筹得资金的能力。与此同时，还得承担合规、行政等相关成本和开支，用于维持上市地位。待退市后，公司可节省相关成本，并拥有更大灵活性的长期战略选择。
凤祥股份2020年上市，仅耗时93天登陆港股，刷新了行业纪录，成为肉鸡全产业链行业首家上市企业。上市当日市值48亿港元，一时风光无两。
牵手资本市场，是企业发展过程中的一个重要里程碑。但5年后，凤祥股份的心境已大不一样。
3年前易主
山东刘学景家族早年通过养殖白羽鸡发迹，通过20多年努力，将凤祥股份发展成为一家集养鸡、屠宰、深加工等多种业务并存的鸡肉制品企业。
在奔赴港股前，刘学景将权杖交予其子刘志光，可没过多久，公司便陷入危机之中。
这场危机被引爆的焦点，乃是刘学景家族的祥光铜业。
2022年3月，祥光铜业因流动性紧张，7笔债务到期未偿还，合计2.91亿元、2585.5万美元。
因欠款逾期，触发“21阳光祥光SCP001”超短融交叉条款，当年5月，祥光铜业被债权人向法院申请司法重整。重整名单中，包括凤祥股份控股股东新凤祥控股等19家企业。
2022年10月，新凤祥控股、凤祥集团和凤祥投资，所持凤祥股份合计70.92%股权被司法拍卖，太盟亚洲旗下第四合伙以对价13.72亿元拍得，成为新任控股股东。
太盟亚洲号称亚洲的“黑石”，以极小代价获得凤祥股份，为继拿下齐翔集团控制权、珍爱网等标的后，又一经典案例。
在太盟亚洲看来，凤祥股份是一家优质企业。在消费升级过程中，鸡肉作为优质蛋白备受市场热宠。
公司2020年将业务重点转移到深加工鸡肉上，发力鸡肉熟食产品、调味鸡肉等产品，并陆续覆盖全国性便利连锁店，以及电商渠道。
太盟亚洲成为新的主人后，外界一致认为会推动凤祥股份在资本市场上的表现。哪里料到，如今已走在私有化退市的路上。

Não exatamente, mas recorri às ferramentas de mudança de IP para ver se conseguia contornar as limitações do app.
Mas a verdade é que só precisaria de uma VPN para desbloquear conteúdo e tudo que eu uso consigo acessar pelo meu IP mesmo. Ou quando vou mexer com os dados das minhas carteiras em sites de terceiros que as ligam ao meu IP, como o site da Arkham. Mito bom para fazer monitoramento de carteiras.
A única coisa que não abro mão é habilitar o NetGuard, ele usa funções de VPN, mas sem mudar IP, só desabilitando internet de apps.
